Attn: Corporate Development Note: We appreciate your submission of materials (the "Materials") for consideration by STATS ChipPAC Ltd. ("STATS ChipPAC") in connection with the Proposed Transaction with STATS ChipPAC. Because STATS ChipPAC receives many proposals, we have standard conditions for initial evaluation as follows. STATS ChipPAC will treat the Materials as non-confidential and has no obligation to keep any information in the materials confidential, even if such Materials are marked confidential. For the purposes of evaluation of the Proposed Transaction, STATS ChipPAC will make copies of, disseminate and use the Materials and copies without obligation or liability to your company in connection with such evaluation, dissemination, reproduction and use. STATS ChipPAC will keep all Materials. By submission of these Materials to STATS ChipPAC, your company represents that it has the right to submit the Materials for evaluation on these conditions. If, after initial evaluation, STATS ChipPAC decides it wishes to evaluate the Proposed Transaction further, it may negotiate a confidential disclosure agreement with your company.
